Terms of Service

1. Acceptance of Terms

By accessing or using the Gheist.io platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Services.

2. Description of Services

Gheist.io provides an AI-powered institutional knowledge management platform that connects to your organization's productivity tools to capture, organize, and surface critical expertise. The Services include knowledge capture, AI-powered analysis, search, and related features as described on our website.

3. Account Registration

To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately at security@gheist.io if you suspect unauthorized access.

4. Your Data & Ownership

You retain all ownership rights to the data you and your organization provide to Gheist.io ("Customer Data"). We do not claim ownership of your Customer Data. You grant us a limited license to process Customer Data solely to provide, maintain, and improve the Services as described in our Privacy Policy.

We will not access your Customer Data except as necessary to provide the Services, respond to support requests, or as required by law.

5. Acceptable Use

You agree not to: use the Services for any unlawful purpose; upload malicious code or attempt to compromise system security; reverse engineer, decompile, or disassemble any part of the Services; resell or redistribute the Services without written authorization; use the Services to store or process data that violates applicable privacy laws; or interfere with or disrupt the integrity or performance of the Services.

6. Third-Party Integrations

The Services connect to third-party platforms (Google Workspace, Gmail, Microsoft Teams, Fireflies.ai, and others) to capture knowledge. By enabling integrations, you authorize Gheist.io to access and process data from those platforms in accordance with our Privacy Policy. You are responsible for ensuring your use of integrations complies with the respective third-party terms of service.

7. AI-Powered Features

The Services use artificial intelligence to analyze and organize knowledge data. AI-generated outputs (summaries, insights, recommendations) are provided on an "as-is" basis and should be reviewed for accuracy. Gheist.io does not guarantee the accuracy or completeness of AI-generated content. Your data is not used to train or improve AI models.

8. Subscription & Billing

Access to certain features of the Services requires a paid subscription. Subscription terms, pricing, and credit-based usage details are described on our pricing page. We reserve the right to change pricing with 30 days' notice. Fees are non-refundable except as required by law or as specified in a separate enterprise agreement.

9. Service Levels & Availability

We target 99.9% monthly uptime for the Gheist.io platform, measured as the percentage of minutes in a calendar month during which the core Services (knowledge capture, AI assistant, and dashboard) are available.

9.1 Uptime Commitment

For customers on the Scale or Enterprise plan, if monthly uptime falls below 99.9%, you may request a service credit equal to 10% of that month's fees for each full percentage point below the target, up to a maximum of 30% of monthly fees. Credit requests must be submitted within 30 days of the incident.

9.2 Exclusions

Uptime calculations exclude: scheduled maintenance (announced at least 24 hours in advance); downtime caused by factors outside our reasonable control (force majeure, internet outages, third-party service failures); and any period where usage exceeds documented rate limits.

Enterprise plan customers may negotiate custom SLA terms, including 24/7 support and shorter response times, as part of their agreement.

10. Data Portability & Account Termination

You may export your Customer Data at any time through the platform's export functionality or by contacting support@gheist.io. Upon account termination (whether by you or by us), we will make your data available for export for 30 days. After this period, we will delete your Customer Data in accordance with our Privacy Policy.

Either party may terminate the account at any time. We reserve the right to suspend or terminate accounts that violate these Terms.

11. Intellectual Property

The Services, including all software, design, text, and branding, are owned by Gheist.io and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or proprietary technology beyond the limited license to use the Services as intended.

12. Limitation of Liability

To the maximum extent permitted by law, Gheist.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunities arising from your use of the Services. Our total aggregate liability shall not exceed the amount paid by you in the twelve months preceding the claim.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free, secure, or available at all times.

14. Indemnification

You agree to indemnify and hold harmless Gheist.io, its officers, directors, and employees from any claims, damages, or expenses arising from: your use of the Services; your violation of these Terms; or your violation of any third-party rights.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, for active accounts, by email. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
